Terms of Service

These Terms apply exclusively to PRismAI-Reviewer, a GitHub App available on the GitHub Marketplace. They do not apply to this portfolio website or any other project by Cooper Graves.

These Terms of Service ("Terms") govern your use of PRismAI-Reviewer (the "Service"), a GitHub App provided by Cooper Graves ("we", "us", or "our"). By installing PRismAI-Reviewer through the GitHub Marketplace, you agree to be bound by these Terms.

1. The Service

PRismAI-Reviewer is an automated code review assistant that integrates with GitHub as a GitHub App. When installed on a repository, PRismAI-Reviewer analyses pull request diffs using large language models and provides automated feedback as GitHub comments.

The Service includes features that vary by subscription plan, including but not limited to: bug detection, design analysis, performance analysis, fix suggestions, risk scoring, reviewer recommendations, and retrieval-augmented contextual review.

2. Eligibility

You must be at least 13 years of age and capable of forming a binding contract to use the Service. If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to do so.

3. Account and Installation

Access to the Service is managed through your GitHub account via the GitHub Marketplace. You are responsible for maintaining the security of your GitHub account. We are not liable for any loss or damage resulting from unauthorised access to your account.

4. Subscription Plans and Billing

a) Plans

PRismAI-Reviewer is offered on a subscription basis through GitHub Marketplace. Available plans and their monthly review limits and included features are listed on the Marketplace listing page and in the Service itself.

b) Billing

All billing is handled by GitHub Marketplace on our behalf. By subscribing to a paid plan, you agree to GitHub Marketplace's billing terms and authorise recurring charges.

c) Plan Changes

You may upgrade or downgrade your plan at any time through GitHub Marketplace. Changes take effect at the start of the next billing period unless otherwise stated by GitHub.

d) Cancellation

You may cancel your subscription at any time by uninstalling PRismAI-Reviewer or cancelling via GitHub Marketplace. No refunds are provided for partial billing periods except where required by applicable law.

e) Usage Limits

Free plan subscriptions are subject to a monthly review limit as stated on the listing. Once the limit is reached, PRismAI-Reviewer will not post reviews for the remainder of that calendar month. Paid plans have higher or unlimited limits as described on the listing.

5. Acceptable Use

You agree not to use the Service to:

• Circumvent, disable, or interfere with security features of the Service
• Attempt to gain unauthorised access to other users' data or installations
• Use the Service for any unlawful purpose or in violation of applicable laws
• Reverse-engineer or extract the Service's underlying models or logic
• Automate requests to the Service in a manner that materially exceeds normal pull request volume in order to abuse usage limits
• Use the Service to process code that contains intentional malware, exploits, or other malicious content intended to harm third parties

We reserve the right to suspend or terminate access for violations of this section.

6. Code and Data

a) Your Content

You retain all ownership rights to your code and repository content. By using the Service, you grant us a limited, non-exclusive licence to access, process, and transmit your code solely to provide the Service.

b) AI Processing

Code diffs and repository context are transmitted to the OpenAI API for analysis. You acknowledge and agree that your code content will be processed by OpenAI under their API terms. We do not use your code to train our own AI models.

c) Feedback and Embeddings

Feedback signals you provide and code embeddings generated during the Service are stored as described in our Privacy Policy. You grant us a licence to use these signals to improve the quality of reviews within your installation.

7. Intellectual Property

The Service, including its software, design, trademarks, and analysis logic, is owned by Cooper Graves and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cooper Graves from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, third parties, or the integrity of the Service.

You may terminate these Terms at any time by uninstalling PRismAI-Reviewer via GitHub App settings.

Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 8, 9, 10, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Cooper Graves operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation where possible.

13. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes by updating the "Last updated" date and, where practicable, by posting a notice on the GitHub Marketplace listing. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
